1 Definitions

For the purposes of these Terms of Service:

• "Company" refers to NextBridge Business Support FZ-LLC, registered at Compass Building, Al Hulaila Industrial Zone Free Zone, Ras Al Khaimah, UAE
• "Client" or "you" refers to any individual or entity that accesses our website or engages our services
• "Services" refers to all business support services offered by NextBridge, including but not limited to businessmen services, company formation, PRO services, commercial brokerage, administrative support, and business consulting
• "Website" refers to the NextBridge website and all related web pages
• "Engagement Agreement" refers to any written or electronic agreement between NextBridge and a Client for specific Services
• "Government Fees" refers to fees charged by UAE government entities, freezones, ministries, or authorities in connection with the Services

2 Acceptance of Terms

By using our website, submitting an enquiry form, engaging our services, or communicating with us via any channel (including WhatsApp, phone, or email), you agree to be bound by these Terms of Service and our Privacy Policy.

These Terms apply to all visitors of our website and all Clients who engage our Services, whether via written agreement, verbal agreement, or electronic communication. Where a separate Engagement Agreement exists, its terms shall take precedence over these general Terms to the extent of any conflict.

We reserve the right to modify these Terms at any time. Continued use of our website or services following any modification constitutes acceptance of the revised Terms.

3 Our Services

NextBridge provides a range of business support services to entrepreneurs, investors, and corporations operating in or entering the UAE market, including:

• Businessmen Services: Concierge-level support including visa facilitation, airport assistance, hotel and transport coordination, and general government liaison for visiting businessmen
• Company Formation: Assistance with company registration in UAE Freezones and Mainland, including trade license applications, Memorandum of Association preparation, and related documentation
• PRO Services: Public Relations Officer services for visa applications and renewals, Emirates ID processing, labour and immigration matters, trade license renewals, and ministry approvals
• Commercial Brokerage: Introduction and mediation services connecting buyers and sellers for commercial property, business acquisitions, trade transactions, and investment opportunities
• Administrative Support: Back-office management including document handling, correspondence management, HR administration, and compliance filing
• Business Consulting: Strategic advisory services for market entry, business structuring, and UAE business development

The scope, timeline, and fees for each engagement will be set out in a proposal or Engagement Agreement provided to the Client prior to commencement of Services.

4 Client Obligations

As a Client of NextBridge, you agree to:

• Provide accurate, complete, and up-to-date information and documentation as required for the Services
• Notify NextBridge promptly of any changes to information that may affect the Services
• Not provide fraudulent, forged, or misleading documents or information for any purpose
• Cooperate fully and respond to requests for information or approvals in a timely manner
• Pay all fees and charges in accordance with the agreed payment terms
• Comply with all applicable UAE laws, regulations, and freezone rules relating to your business activities
• Obtain any necessary permissions, approvals, or authorisations required from third parties in connection with the Services
• Not engage NextBridge for any purpose that is unlawful, fraudulent, or in violation of UAE law

5 Fees & Payment

Our service fees are as set out in the relevant proposal or Engagement Agreement. Unless otherwise agreed in writing:

• Fees are quoted in UAE Dirhams (AED) and are exclusive of applicable Government Fees, unless expressly stated otherwise
• Government Fees are charged at cost and are subject to change without notice by the relevant authorities
• A deposit or full upfront payment may be required before commencement of certain services
• Payment is due within the period specified in the invoice or Engagement Agreement
• Late payments may incur a late payment fee as notified by NextBridge
• NextBridge reserves the right to suspend Services where payment is overdue
• All transactions are final and subject to the cancellation and refund policy set out in Section 7

6 Service Delivery & Timelines

NextBridge will use its best efforts to deliver Services within the timelines communicated to the Client. However:

• All timelines are estimates and are subject to the processing times of UAE government departments, freezone authorities, and third-party entities
• NextBridge cannot guarantee outcomes or approvals from any government authority, ministry, or freezone
• Delays caused by incomplete documentation, government processing times, or circumstances beyond our control do not constitute a breach of these Terms
• NextBridge will notify the Client promptly of any significant delays or issues that arise during service delivery

7 Cancellation & Refunds

Cancellation and refund terms are as follows:

• Where a Client wishes to cancel Services, written notice must be provided to NextBridge as soon as possible
• Work already performed and Government Fees already paid or committed on behalf of the Client are non-refundable
• Where Services have not yet commenced, a full refund of NextBridge service fees (excluding Government Fees and disbursements) may be considered at NextBridge's sole discretion
• Deposits paid to secure commencement of Services are non-refundable if cancellation occurs after commencement
• NextBridge reserves the right to terminate an engagement and retain fees where the Client has breached these Terms or provided false information

All refund requests must be submitted in writing and will be reviewed on a case-by-case basis.

8 Intellectual Property

All content on the NextBridge website — including text, graphics, logos, icons, images, and software — is the intellectual property of NextBridge Business Support FZ-LLC or its licensors and is protected by applicable intellectual property laws.

• You may access and use website content for personal, non-commercial purposes only
• You may not copy, reproduce, distribute, modify, or create derivative works from any website content without prior written consent from NextBridge
• Nothing in these Terms grants you any licence or right to use any NextBridge trademark, logo, or brand name

Any deliverables produced by NextBridge specifically for a Client engagement remain the property of the Client upon full payment of all fees, except where otherwise agreed in the Engagement Agreement.

9 Confidentiality

Both NextBridge and the Client agree to maintain the confidentiality of all confidential information shared during the course of the engagement. This includes business plans, financial information, personal data, and any other information designated as confidential.

• NextBridge will not disclose Client confidential information to any third party except as necessary to deliver the Services or as required by law
• The Client agrees not to disclose NextBridge's internal processes, pricing structures, or proprietary methods to any third party
• These confidentiality obligations survive the termination of the engagement

The handling of personal data is governed separately by our Privacy Policy.

10 Limitation of Liability

To the fullest extent permitted by applicable UAE law:

• NextBridge's total liability to any Client for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by the Client to NextBridge in the three (3) months preceding the event giving rise to the claim
• NextBridge shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, or loss of data
• NextBridge shall not be liable for any outcome, decision, approval, or rejection made by any UAE government authority, ministry, freezone, or third-party entity in connection with the Services
• NextBridge shall not be liable for delays or failures caused by circumstances beyond its reasonable control (force majeure), including but not limited to government processing delays, natural disasters, or changes in law

11 Indemnification

You agree to indemnify, defend, and hold harmless NextBridge Business Support FZ-LLC, its officers, employees, agents, and partners from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms of Service
• Your provision of false, inaccurate, or fraudulent information or documentation
• Your violation of any applicable UAE law or regulation
• Any claim by a third party arising from your use of our Services

12 Website Use & Prohibited Conduct

By accessing our website, you agree not to:

• Use our website for any purpose that is unlawful or contrary to UAE law
• Attempt to gain unauthorised access to any part of our website or systems
• Introduce viruses, malware, or other harmful code to our website
• Use automated tools, bots, or scrapers to extract data from our website
• Engage in any conduct that disrupts or interferes with our website or services
• Post or transmit any defamatory, obscene, or threatening content via our website
• Misrepresent your identity or affiliation in communications with NextBridge

NextBridge reserves the right to restrict or terminate access to the website for any user who violates these provisions, without notice.

13 Governing Law & Disputes

These Terms of Service and any engagement with NextBridge are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable to the Ras Al Khaimah Economic Zone (RAKEZ) and the Al Hulaila Industrial Zone Free Zone.

In the event of any dispute arising out of or in connection with these Terms or our Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be referred to the competent courts of Ras Al Khaimah, UAE, which shall have exclusive jurisdiction.

Nothing in this clause prevents NextBridge from seeking urgent injunctive or interim relief from any court of competent jurisdiction where necessary to protect its rights.

14 Amendments

NextBridge reserves the right to amend these Terms of Service at any time, with or without notice. The updated Terms will be posted on this page with a revised "Last Updated" date. It is your responsibility to review these Terms periodically.

Your continued use of our website or services after any amendments are posted constitutes your acceptance of the revised Terms. If you do not agree to any amended Terms, you must cease using our website and services and notify us in writing.
